TPS (company)
TPS is a company created in 1996. Originally, TPS was held by France Televisions as a principal shareholder, the Groupe TF1 and the Groupe M6. However, France Televisions withdrew itself from the adventure in 2002, leaving 66% of the shareholding to group TF1 and 34% to the M6 group.
TPS is a numerical operator of Bouquet of satellite remote transmission French. TPS emits in numerical since the constellation of satellites Hot-Bird. It also emits from now on its bouquet TV by the ADSL.
In addition to this activity, TPS is also the editor of television channels sets of themes which are diffused on its bouquet.
TPS star was retained by the SCUMS to belong to the paying offer of the Digital terrestrial television in France.
The December 16th 2005, Vivendi head office of Canal+ and CanalSat, revealed a plan of fusion between CanalSat and TPS, whose shareholding would break up as follows: Vivendi Universal with 85%, TF1 with 9,9%, and M6 with 5,1%. The bringing together between the two companies was authorized by the ministry for the economy, of finances and of industry at the end of August 2006 and the merger plan by the general meeting of CanalSat the January 4th 2007 was finally approved.
The March 21st 2007, the offer of the two bouquets (TPS and Canalsat) becomes identical, and since April 2007 is installation the new offer Nouveau CanalSat, confirming on this occasion the disappearance of trade name TPS .

Fusion TPS - CANAL+, technique of the operation
From a formal point of view, the fusion of TPS and CANALSAT rest on a contribution of the titles of company TPS management at the company Canal+ France, the latter being created especially for the operation. In same time, an operation of reorganization preceded the contribution by the titles of TPS management in Canal+ France with knowing the contribution of the titles of TPS (partnership) held by M6 and TF1 with TPS Gestion (public limit company). The goal of these two operations is to create a holding (the company Canal+ France) gathering the whole of the audio-visual activities of group CANAL+ and TPS.
With regard to the evaluation of companies TPS and Canal+, the report/ratio of exchange resulted in developing the unit amalgamated to 6 billion euros, including 900 M€ for TPS and 5.100 M€ for Canal+. Moreover, at the conclusion of the operations of regrouping, TF1 and M6 hold 15% of Canal+ France and are profit of an option to sell (could) of European type on this participation, exerçable on Vivendi at the end 3 years (either in January 2010). The price of exercise of could will be given to say of expert with a value floor equal to 1.130 M€.
TPS in a near future
Effective at January 4th, 2007, fusion between part of the Groupe Canal+, named Canal+ France (and not its subsidiary company CANALSAT) and TPS (the Groupe TF1 and M6 became minority shareholders of this company, respectively to a total value of 5,1% and 9,9%), which should give only one range of satellite channels in France. CANALSAT and TPS intend to create a single platform of satellite television, in order to deal with the increased competition of the companies of telecommunication (ADSL), free TNT and television on Internet.
Let us note however that bouquet TPS is not only any more accessible since the satellite network, the possibilities of reception extended in 2005 with technology ADSL (the subscription which can be coupled with the offers of Orange and Neuf Telecom) and in 2006 with the TNT, the cable being the only technology not used for the reception.
Moreover, they will be able to conquer new subscribers and to put the hand on best sporting and cinematographic exclusivenesses.
Lastly, fusion must make it possible to reinforce the capacity of negotiation vis-a-vis the suppliers, while limiting that of the customers.
The synergies carried out by the new group will be able to make it possible to realize many savings, in particular thanks to:
- suppression of about fifteen chains doubled bloom (For example: Channel J and Tiji (Group Lagardere) and Piwi for youth, or the chains cinema of the two groups)
- a stronger capacity of negotiation with the independent chains like Equidia, the chain of the horse-races.
- a better capacity of negotiation with the majors American of the cinema (Universal, Paramount,…) who will have to lower their prices and to offer the same tariffs as to the other European bouquets.
- the reduction of the financing of the film productions.
- Less hiring of Transponder S (satellites).
However, synergies related to the hiring of the transponders will be effective only in one rather remote future. Indeed, TPS currently rents with EUTELSAT 6 capacities for an entire amount of 20,2 million euros. Following fusion, TPS will have to pay an allowance related to the rupture of the leasing agreement of the transponders. Moreover, each satellite antenna of subscribers TPS will have to be redirected towards the Astra satellite rented by CanalSat. The cost of the operation is evaluated with 150 € per antenna (related to the displacement of a technician) to which is added the replacement of the decoders.
As of April 2007, the satellite offers of TPS and CanalSat will approach. For this purpose, TPS prepares two waves of renumerotation which intervene at February 1st, 2007 and in April 2007 in order to make converge classification on Canalsat and TPS.
Already, dice the month of November 2006, subscribers TPS by satellite, equipped with the rental terminal of TPS can subscribe with Canal+ the bouquet initially, available on channels 111 to 115, and from now on on channels 4,9,10,11 and 12. These chains are free until February 28th, 2007.
In February, two new chains resulting from CanalSat made their appearance on TPS: Sport+ and Planet Thalassa.
January 18th, 2007, “the Canal+ Group announces to have retained Astra like future single operator to transport his television offers by satellite to Metropolitan France”. This choice will make it possible “to durably have the satellite capacity necessary to develop its offer of chains and to accelerate the deployment of the High-definition”. Subscribers TPS will have to reorientate their parabola towards this satellite, starting from the second half-year 2007. It is promised that these expenses would not be with their load.
The two bouquets thus amalgamated will bear from now on the name of “Nouveau Canalsat”.
