Simple company
The simple company is a form of Société envisaged by the Droit Suisse. They are a Contrat governed by articles 530 and following of the Code the obligations, concluded by two or several physical people or morals which is appropriate to link their efforts or their resources in order to achieve a common goal, lucrative or not.
The simple company does not have the legal Personality. Contrary to the moral persons, it can as a such neither act neither to be attacked in justice, neither to be the object of continuations, nor to be registered with the Trade register.
The associates are owners in common hand of the goods and Créance S of the simple company. They take part, in theory with equal shares, the Bénéfice S and with the Perte S. They are jointly responsible for all the Dette S of the company on the whole of their inheritance.
Thus, in Civil procedure, the associates must put forward to them Créance while acting jointly ( necessary consority ). On the other hand, the interdependent responsibility for the Dettes has as a consequence which a creditor of the company has faculty to seek each associate for the whole.
