Various directions of the expression “authorized capital”

  • Historically, the expression authorized capital first of all had a legal, countable and economic direction (Capital of a Joint stock company for example).

Countable direction

The authorized capital is composed by the Apport S in good in a company. The contributions in industry do not form part of it. It is different from the Assets of the company, of the Goodwills. Especially, it is the sum mentioned on any commercial document of a joint stock company and which corresponds to the face value of the actions of which this one is composed.

It is the general pledge of the Créancier and is thus subjected to a strict legal mode. Thus the reductions of the authorized capital are subjected to measurements of publicity so that the creditors of the company are informed.

Sociological direction

The authorized capital with the sociological direction can be seen like positive or negative.

  • the horizontal social relations of the social agents which increase the cohesion and the productivity of the community are regarded as positive.

  • While the lobbys and the hierarchical systems operating with counter-current of the interest of the community can be seen as a negative authorized capital (one could evoke the example of the Maffia here, but also that will nomenklatura it Russian, or the reproduction of the economic leaders inside circles closed in France).

  • This vision, which considers the interest of the company as having to take precedence over the individual can be reversed, insofar as one can consider that the individual should not be reduced to the aristotelician role and of Social animal.

In fact, if one is for the moment obliged to speak about “perceived” effect, it is the real effect of the authorized capital, although some, remain difficult to measure in spite of certain research on this subject (for example by the the World Bank)
