Groupement d\'Interet Economique

A Groupement d'Interet Economique (GIE) is a grouping equipped with the legal entity which makes it possible its members (who must be at least two) to share some their activities in order to facilitate or develop their activity, or to improve or increase the results of this activity and this while preserving their individuality.

In France

This intermediate structure between the company and the Association, whose object can be only to prolong the activity of its members, was instituted by the ordinance of the September 23rd 1967, which is integrated today in the Code of the trade into the articles L. 251-1 and following.

The GIE is noted in a written act which contains a certain number of information and it must be registered with the Trade register and companies (RCS).

The members of the GIE are indefinitely and jointly persons in charge of the Dette S, which removes part of its interest to him and makes its use delicate.

Nevertheless the GIE has the advantage of being subjected to very flexible legal rules, in particular with regard to its authorized capital (possibility of constitution without capital), its object (which can be civil or commercial) or its methods of organization.

It is necessary to attach a great importance to the drafting of the object of the GIE because the grouping is engaged with regard to the thirds by any act of the administrators which enters this social object.

In practice the GIE is frequently used for a durable co-operation between professionals, as the Groupement of the Bank cards CB which gather the banks using this method of payment, the GIE gathering the tradesmen tenants in the shopping malls, as well as the GIE organizing a common technical assistance and services for chartered accountants.

The choice of the GIE within the framework of a project must be done with precaution. It limits the possibilities of later diversification where necessary and moreover the cost of a possible transformation into business firm will be generally prohibitory at the tax plan.

A GIE is made of several companies. A person recruited by this group, will work at time-sharing on these companies.

Dissolution

According to the ordinance of September 23rd, 1967, the causes of dissolution of the GIE are the following ones:

arrived of the term
realization or extinction of the object
decision of its members brought together in assembly
court order for right reasons or death or dissolution of the one of the members except contrary stipulation of the contract of grouping
