Group Mulliez

The group Mulliez is the name given by the economic press to the Family association Mulliez (AFM) , family originating in the French department of the Northern .

Mulliez Family association

The use of the term groups Mulliez as that of association is unsuitable:
  • a group of companies depends either on a company mother, or of a central union (mutualist group). In this case, the companies known as of the Mulliez group do not have a capital intensive bond between them, and do not have the form mutualist. However, the use of the group term is due to the behavior of Mulliez Family association close to that of a company of holding.
  • It is not a question either of a Association of law 1901, the goal of the unit being lucrative.

It is about a Pacte of shareholders without legal reality, the analogy corresponding more (but not perfectly) is the Tontine.

The goal of association

Created in 1955, in order to ensure the succession of Louis Mulliez, it aims to maintain the inheritance of this intact last and to distribute it in a levelling way between its 11 heirs. The Mulliez family has a patrimonial vision of the company, for this reason it is hostile with the call to the external financing. Thus under the impulse of Gerard Mulliez-Cavrois, founder of Phildar, father of Gerard Mulliez Mathias (Auchan), association widens his action with the financing of the projects of companies of the family members. None the companies of the Auchan group is quoted on the stock exchange. During the creation of a new company, association enters the capital to support it financially then can sometimes await the return on investment only via the dividends (the absence of quotation of the companies limits the resale of the titles with a view to carry out Plus-value S). Their companies are organized to resist the crises, with the manner of a conglomerate of the Distribution. The benefit are often reinvested to continue this large œuvre.
Many companies in which association is present were however not created by a family member, it acts in this case of investment of long run or strategic.

The operation of association

The Mulliez family members through five limited partnerships with share capitals took shares in the Mulliez Family association, which invests in the companies created by the family but also in other companies. Once per annum, in November, an estimate of the value of the share is made in order to allow of it the sale between the members of the association.
The council of management, composed of seven people, decides or withdrawal acquisitions of a holding of association. The president of association proposes the names of the officers of the company in which it is majoritaire.
Every four years, the members of Mulliez Family association elect the council of management. The candidates must be sponsored by four family shareholders having been administrators lasting four years of a company whose association is shareholder, and administrators cannot be them-even.

Members of association

In 2006, the assets of association make that the Mulliez family is regarded as one of most fortunate of Europe. According to the classification of the magazine Challenges , the 4000 family members added up in 2004 a fortune of 10 billion euros, which classified them with the 3rd rank of French fortunes behind Bernard Arnault (LVMH) and Liliane Bettencourt (L'Oreal).
However, by the capitalization of their goods, the Mulliez Group is today the first fortune of France. Mulliez Family association is currently directed by one of the nephews of Gerard Mulliez, Thierry Mulliez. To be member, several conditions are necessary:
  • To be resulting from the family (directly or by alliance),
  • to be old of more than 22 years, and proposed by his/her parents with the council of management,
  • to accept by contract the conditions of entry and exit of association.

note: in the event of entry by alliance, the divorce involves the obligation to resell the acquired shares, except agreement of ex-unites resulting from the family

Note: Eric Derville during the creation of Norauto was married with a Mulliez family member. Since, he divorced and had in accordance with the operating rules association to resell it his shares in association: he exchanged them against the majority of the titles held by Mulliez family association of his company, becoming the first shareholder with 90% of the titles.
