European grouping of economic interest

A European grouping of economic interest ( GEIE ) is a legal entity founded on the European right. It is the adaptation to the European international framework of the French concept of Groupement d'Interet Economique (GIE). It was instituted by Payment the EEC n° 2137/85 of the Council of the July 25th 1985. Its objective is to facilitate the transnational co-operation between companies.

It is about the regrouping of companies, of private law or public, deciding to share means while preserving their own legal personality. A GEIE must count two European companies at least belonging to two different Member States. Its seat must be obligatorily fixed in the territory of the European Union. It cannot employ more than 500 people.

The GEIE, not being a company, does not have obligatorily a minimal Capital and does not aim to carry out benefit for itself. Its Bénéfice S possible is distributed between the members, according to the clauses of the contract of association, in theory in proportion to the average volunteers by each one, and is taxed according to the rules applicable to these companies. The members of the GEIE are indefinitely and jointly persons in charge of the Dette S contracted by this one.

Examples of GEIE: Eurostar, Thalys, the GEIE-TMB, single owner of the Tunnel of Mont Blanc, Arte (Relative Association on television European), Basque Eurocité Bayonne - San Sebastian.
